Korea company registration is the process of creating a legal entity in South Korea and completing every filing needed to operate it. For a foreign-invested company, Invest KOREA lists seven steps, starting with a foreign investment notification and ending with foreign-invested company registration, and a clean file typically takes about two to three weeks.

Most founders hear three different words for this, registration, incorporation and setup, and assume they describe one filing. They do not. Below is the official sequence, who handles each step, how long Invest KOREA says it takes, and where files usually stall.

Key facts about Korea company registration

  • Legal basis: the Foreign Investment Promotion Act (FIPA) and the Commercial Act
  • Foreign ownership: generally up to 100%, subject to sector restrictions
  • Directors: at least one, regardless of nationality
  • Minimum capital: no statutory minimum for a stock company or private limited company. KRW 100 million with at least 10% of voting shares is the FIPA threshold for foreign investment status
  • Typical timeline: roughly 2 to 3 weeks with documents ready
  • Final deadline: foreign-invested company registration within 60 days of payment of the investment
  • Offices involved: KOTRA or a foreign exchange bank, the court registry office, the tax office, and your corporate bank

Are Korea company registration, incorporation, formation and setup the same thing?

how to register a company in Korea 2026

In everyday usage, yes. In practice, they describe different layers of the same journey. Here is how the terms are normally used:

  • Korea company registration is the umbrella term for the whole process, from notification to the final registrations.
  • Korea company incorporation and Korea company formation usually mean the court step that creates the legal entity (법인설립등기).
  • Korea company setup is the widest term. It adds the bank account, accounting, payroll and visas that make the entity operational.
  • Korea business registration (사업자등록) is strictly the tax office step that issues the business registration certificate, although many people use the phrase for the whole process. Korea business incorporation, Korea business formation and Korea business setup are used the same way as their company equivalents.
  • Korea branch registration applies when a foreign company opens a branch instead of a separate subsidiary. A branch is part of the parent company and follows its own path, which our guide to Korea branch office vs subsidiary explains.

How long does Korea company registration take?

About two to three weeks when your documents are ready. The official processing times add up to roughly 11 days. The rest of the calendar goes to document preparation, overseas authentication, permits and bank checks, and those are where timelines usually slip. We plan on up to three weeks end to end.

Official processing time per step (maximum days)

Remittance of investment funds3 days
Registration of incorporation3 days
Notification of incorporation and business registration5 days

Total of official maximums: about 11 days. Excludes document authentication, permits and bank due diligence. Notification and bank account opening are listed as immediate, and foreign-invested company registration is a 60-day deadline rather than a processing time. Source: Invest KOREA.

Three things stretch the schedule most often: authenticating documents signed abroad, sector permits, and corporate bank due diligence. Our guide to parent company documents for a Korea entity covers the first, and the Korea business category classification explainer covers the second.

Step by step: what happens at each office

1. File the foreign investment notification

The investor, or an authorized representative, notifies the investment to KOTRA or a foreign exchange bank before capital moves. Typical documents are the foreign investment application form, a passport copy or official certification for the investor, and a power of attorney if an agent files. Our guide to the Korea foreign investment notification process covers the filing, and our insights page on Korea company setup and foreign investment procedures explains the four-stage sequence.

2. Remit the investment funds

Funds are sent through a foreign exchange bank, or carried through customs, and Invest KOREA allows two to three days for this step. Keep the remitter name, amount and stated purpose consistent with the notification, because mismatches are a common reason for delay.

3. Register the incorporation at the court registry office

The company becomes a legal entity when the court registry office registers its incorporation. The package includes the articles of incorporation, resolutions, director and shareholder details, officer seals with a seal certificate, and apostilled documents for foreign officers. Our guide to the Korea corporate seal explains the seal registration that happens at this step.

4. Obtain authorizations and permits, if your sector needs them

Regulated activities need approval from the relevant authority, and timing depends on the permit. Corporate registration alone does not authorize every business activity, so check this before you commit to a launch date.

5. Complete Korea business registration at the tax office

Business registration produces the business registration certificate and tax ID. The package includes the business registration form, articles of incorporation, the corporate registry certificate and a copy of the lease agreement, plus the foreign investment declaration and the foreign currency purchase certificate for foreign-invested companies. The lease is why the address decision matters, which our guide to Korea registered office address options walks through.

6. Open the corporate bank account

Foreign investors open the corporate account at a foreign exchange bank. Banks run their own due diligence, and opening an additional account at another bank is restricted for 20 business days afterward, so choose the bank deliberately. See our guide to opening a Korea corporate bank account as a foreign company.

7. Register as a foreign-invested company within 60 days

The last step is registration at KOTRA or the foreign exchange bank where the original notification was filed. Invest KOREA states that it should be completed within 60 days following payment of the investment. It also notes that a residence visa application can be filed once this registration is complete, which is why founders planning a D-8 visa should not leave it for later.

What changes if your head office is in Seoul?

  • Any tax office works. Invest KOREA states that every tax office accepts the notification of incorporation and business registration regardless of jurisdiction, so you do not need the office nearest your address. KOTRA’s Foreign Investor Support Center can also accept the business registration application.
  • Your address shapes the filing. The head office address is what the registry and the tax office record, so settle it before you finalize the articles.
  • Seoul carries a higher registration tax. Seoul sits inside the metropolitan over-concentration restraint zone, where the registration license tax charged on incorporation is generally three times the standard rate. Confirm current rates and your exact address classification before budgeting.
  • In-person support is close. Our incorporation team works from WTC Trade Tower in Gangnam-gu, and can coordinate the registry, tax office and bank steps in person.

What slows Korea company registration down?

  • Remitting before notifying. The notification comes first. Reversing the order creates avoidable problems.
  • Unauthenticated overseas documents. Documents issued abroad generally need notarization and apostille or consular authentication before Korean offices accept them.
  • No address or lease ready. The tax office asks for the lease agreement, so an address left until last can hold up business registration.
  • Missing sector permits. Regulated businesses cannot start trading on registration alone.
  • Forgetting the 60-day deadline. Foreign-invested company registration is easy to postpone once the bank account is open, and it is the step that unlocks status and the visa route.

Frequently asked questions about Korea company registration

What is Korea company registration?

Korea company registration is the process of creating a legal entity in South Korea and completing the filings needed to operate it. For a foreign-invested company, Invest KOREA lists seven steps, from foreign investment notification through foreign-invested company registration.

How long does Korea company registration take?

Typically about two to three weeks when documents are ready. Invest KOREA’s published step timings add up to roughly 11 days, and document authentication, sector permits and bank due diligence add to that.

Is Korea company registration the same as business registration?

No. Business registration is the tax office step that issues the business registration certificate and tax ID. Company registration is the whole process, which also includes the foreign investment notification, court registration of incorporation and foreign-invested company registration.

Can a foreigner register a company in Korea?

Yes. Foreign individuals and corporations can generally own up to 100% of a Korean company, subject to sector restrictions. At least one director is required, and there is no nationality requirement for that role.

What is the deadline for foreign-invested company registration?

Invest KOREA states that registration should be completed within 60 days following payment of the investment, at KOTRA or at the foreign exchange bank where the original notification was filed.

Do I need KRW 100 million to register a company in Korea?

No statutory minimum capital applies to a stock company or private limited company. KRW 100 million with at least 10% of voting shares is the FIPA threshold for foreign-invested company status. Below it the company can still exist, but that status and the routes tied to it are not available.
